This document is a provisional version, under review. It will be updated before the service opens to the public.
Reborn is an online live shopping service published by [company name — to be completed]. It lets sellers stream live videos to several platforms at once, present their products and sell them while live, and lets viewers buy those products.
These terms (the “Terms”) contain:
- part A, common to all users;
- part B, applicable to sellers;
- part C, applicable to buyers.
The French version of these Terms prevails in case of discrepancy.
Part A — Common provisions
1. Definitions
- Service or Reborn: the website, the web app, the public pages, the overlays, the OBS dock, the checkout and the MCP server provided by [company name — to be completed].
- Seller: the individual or legal entity, acting for professional purposes, who creates an account and uses the Service to present and sell products.
- Space: a Seller’s workspace, gathering their team, catalog, lives and orders.
- Member: anyone invited by the owner of a Space to work in it (streamer, helper, etc.).
- Buyer: anyone who buys a product presented by a Seller through the Service.
- Viewer: anyone watching a live, on a Third-party platform or on a Seller’s public page.
- Live: a live video broadcast prepared and run from the Service.
- Third-party platforms: the services a live is streamed to or whose chat is read, including YouTube, TikTok, Instagram, Twitch, Facebook and Kick, and any RTMP server.
- Payment provider: Stripe, which processes payments and payouts through Stripe Connect.
2. Purpose and acceptance
The Terms define how the Service may be accessed and used. Creating an account, joining a Space or placing an order means accepting the Terms in force.
3. Account and access
Selling with Reborn requires an account with a valid email address. Account holders guarantee that the information they provide is accurate and keep it up to date. They are responsible for keeping their sign-in methods (password, passkeys, two-factor authentication) confidential and for any use of their account.
The confidential links provided by the Service (overlay link, OBS dock link, stream keys) give access to some features without signing in: they must be kept secret. The Seller can generate new ones at any time.
4. Description of the Service
The Service lets Sellers prepare lives and their lineup, manage a product catalog, stream a live to several Third-party platforms at once, read and answer their chats from one screen, show overlays over the video, automatically spot viewers who want to buy and send them a payment link, collect payments for sales and track orders.
Reborn is offered in early access: its features change, and some, marked “Soon”, are not available yet. [company name — to be completed] may change, add or remove features, informing Sellers of any significant change.
5. Third-party platforms and connected services
Multistreaming, reading chats and sending messages depend on Third-party platforms. Sellers who connect their accounts remain bound by those platforms’ terms and their rules on content, advertising and commerce. [company name — to be completed] controls neither their availability nor their decisions (limiting or suspending an account, refusing a message or a link) and is not responsible for them.
Sellers may connect an AI assistant supporting MCP (for example Claude or ChatGPT). The assistant then acts with the Seller’s rights, in every Space they are a member of, following the instructions the Seller gives it. The Seller can disconnect it at any time from their settings.
6. Content and intellectual property
Sellers keep all rights to the content they publish through the Service (videos, images, descriptions, messages). They grant [company name — to be completed], for the sole duration and purposes of operating the Service, a non-exclusive, royalty-free licence to host, reproduce, adapt (cropping covers, overlay formats) and broadcast that content.
Sellers guarantee they hold the necessary rights to that content, in particular to product images imported from a link.
The Service, its brand, logo, code and interfaces are the property of [company name — to be completed]. Any unauthorised reproduction is prohibited.
7. Rules of conduct
The Service must not be used to:
- sell illegal, counterfeit or dangerous products, or products that may not be sold at a distance (weapons, drugs, medicines, tobacco products, live animals, etc.);
- broadcast illegal, hateful, violent or sexual content, or content infringing third-party rights;
- mislead Buyers about the characteristics, origin, price or availability of a product, or fake activity (fake comments, fake sales) outside of demo mode;
- send unsolicited messages or misuse the copilot and payment links;
- compromise the security or operation of the Service.
Posts on the community board must relate to live shopping and follow the same rules.
8. Personal data
How personal data is processed is described in the privacy policy.
9. Availability and liability
[company name — to be completed] uses reasonable means to keep the Service accessible and secure, without guaranteeing uninterrupted availability. Interruptions may occur for maintenance, updates or incidents, including at Third-party platforms or technical providers.
Towards Sellers, the liability of [company name — to be completed] is limited to direct and foreseeable damage and may not exceed the amounts paid by the Seller for the Service over the last twelve months. These limits do not apply in case of gross negligence or wilful misconduct, or where the law forbids them.
10. Suspension and termination
Users may delete their account at any time from their settings. [company name — to be completed] may suspend or close an account that breaches the Terms, after informing its holder and letting them respond, except in an emergency or where required by law. Orders in progress remain due and must be fulfilled by the Seller.
11. Changes to the Terms
[company name — to be completed] may change the Terms. Sellers are informed by email at least fifteen days before changes take effect and may close their account before that date. Orders are governed by the version in force when they are placed.
Part B — Sellers
12. Fees
The pricing of the Service and any commission on sales are communicated to the Seller before payment collection is activated [pricing — to be completed]. The Payment provider’s fees apply under its own terms.
13. Getting paid with Stripe Connect
To collect payments with Reborn, the Seller opens a connected account with Stripe and accepts the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Stripe verifies the identity of the Seller and their representatives before enabling payouts.
Buyers’ payments are processed by Stripe and paid out to the Seller’s bank account on Stripe’s payout schedule, less applicable fees. [company name — to be completed] is not a payment service provider and does not store any card data.
Refunds, payment disputes and chargebacks are the Seller’s responsibility, including their amounts and fees.
The Seller may instead use the checkout of their own online shop: payments are then governed by the terms of their shop and its providers.
14. Sellers’ obligations towards Buyers
The Seller is the seller of the products they present: the sales contract is between them and the Buyer. In particular, the Seller undertakes to:
- provide the legally required information about themselves (identity, contact details, registration number) and their products (main characteristics, price including taxes, shipping costs, delivery times);
- describe products accurately, in writing and orally during the live;
- ship paid products within the announced times and mark orders as sent;
- honour consumers’ fourteen-day right of withdrawal, subject to the exceptions provided by law, and the legal guarantees of conformity and against hidden defects;
- issue invoices and meet their tax and social obligations;
- answer Buyers, who can reach them by replying to their order confirmation email.
The Seller is the controller of their Buyers’ data for their own purposes (shipping, customer service, invoicing).
15. Team
The owner of a Space invites and removes its Members, and is responsible for the actions of their Members in the Space.
16. Copilot and payment links
The copilot automatically analyses Viewers’ comments to spot those who want to buy and their questions. This detection can be wrong: the Seller remains in control of the automatic sending of payment links, which they can turn off at any time, and of the answers they publish.
A payment link sent in the public chat of a Third-party platform is visible to every Viewer. The product is held for the Buyer while they pay and put back on sale if the payment does not go through.
Part C — Buyers
17. The role of Reborn
Products are sold by Sellers, whose identity is shown on the live page, on the checkout and in the confirmation email. [company name — to be completed] provides the technical tool for the sale and is not a party to the sales contract.
18. Orders
The Buyer chooses the product on sale, gives their email address, contact details and shipping address, checks the summary (price including taxes, shipping costs, total), then pays.
As soon as the Buyer clicks “Pay”, the product is held for them during the payment. When several Buyers want the last piece, the first to pay gets it; if the payment does not go through, the product is back on sale. The order is confirmed once the payment is accepted, and a confirmation email is sent to the Buyer.
19. Payment
Payments are processed by Stripe, by card, Apple Pay, Google Pay or any other method offered on the checkout. Payment details are sent directly to Stripe and are not stored by [company name — to be completed].
20. Delivery, withdrawal and guarantees
Delivery is handled by the Seller. Consumer Buyers have fourteen days from receiving the product to exercise their right of withdrawal with the Seller, subject to the exceptions provided by law (including goods made to their specifications). They also benefit from the legal guarantee of conformity and the guarantee against hidden defects.
For any request, the Buyer contacts the Seller by replying to their order confirmation email.
21. Complaints and mediation
Complaints should first be sent to the Seller. Buyers may also write to hello@rebornstream.com: we will help them reach the Seller.
In a dispute with [company name — to be completed], consumer Buyers may use the consumer mediator free of charge: [consumer mediator and contact details — to be completed].
22. Governing law
The Terms are governed by French law. Consumer Buyers also benefit from the mandatory provisions of the law of their country of residence. Failing an amicable settlement, disputes are brought before the competent courts; between professionals, before the courts with jurisdiction over the registered office of [company name — to be completed].
